ITAT Ahmedabad Charitable Trust & Section 11/12AB Litigation: Defending Section 12A(1)(ac) Renewal, Form 10BD Discrepancies, Section 13(1)(c) Allegations & Section 115TD Accreted Tax

Sep 28
8 min read

Charitable institutions, educational societies, medical trusts, and corporate CSR foundations across Gujarat are navigating an unprecedented wave of scrutiny from the Office of the Commissioner of Income Tax (Exemptions) Ahmedabad. Following the overhaul of the trust taxation regime under Finance Acts 2020 through 2023, the transition from legacy Section 12A/12AA registrations to the five-year renewal framework under Section 12A(1)(ac) has triggered widespread procedural rejections, arbitrary cancellations, and catastrophic tax assessments under Section 115TD ("Tax on Accreted Income").

AY 2026–27 date update (28 September 2026): CBDT extended the ordinary tax-audit report due date from 30 September to 21 October 2026, and the related audited return due date from 31 October to 21 November 2026. Separate transfer-pricing, company-law, and TDS deadlines are not changed by this announcement. Official CBDT announcement

Before the Income Tax Appellate Tribunal (ITAT) Ahmedabad Benches, Revenue authorities increasingly treat minor procedural oversights—such as delayed filing of Form 10AB or minor donor mismatches in Form 10BD—as grounds to extinguish tax-exempt status. Furthermore, assessing officers routinely invoke the proviso to Section 2(15) and Section 13(1)(c) to characterize legitimate fee-based social activities as commercial businesses, attempting to levy maximum marginal tax rates on gross trust revenues.

However, established jurisprudence from the Gujarat High Court and ITAT Ahmedabad firmly establishes that the registration authority under Section 12AB cannot conduct a fishing assessment into past accounts, that substantive charitable exemptions cannot be denied for procedural delays condoned under CBDT circulars, and that Section 115TD accreted tax cannot be levied merely because an administrative application was rejected.

1. The Re-Registration Gauntlet: Section 12A(1)(ac) and Form 10AB

Under the restructured regime, trusts seeking continuity of exemption must navigate specific sub-clauses under Section 12A(1)(ac):

Sub-Clause: Clause (i) • Category of Trust: Trusts holding legacy Section 12A/12AA registration • Applicable Form: Form 10A • Statutory Filing Timeline: Re-registration for 5-year period

Sub-Clause: Clause (ii) • Category of Trust: Trusts provisionally registered seeking final registration • Applicable Form: Form 10AB • Statutory Filing Timeline: At least 6 months prior to expiry or 6 months of commencing activities

Sub-Clause: Clause (iii) • Category of Trust: Existing 5-year registered trusts seeking regular renewal • Applicable Form: Form 10AB • Statutory Filing Timeline: At least 6 months prior to expiry of 5-year term

Sub-Clause: Clause (iv) • Category of Trust: Trusts undergoing modification of objects • Applicable Form: Form 10AB • Statutory Filing Timeline: Within 30 days from date of object modification

Sub-Clause: Clause (vi) • Category of Trust: Newly established entities applying for provisional status • Applicable Form: Form 10A • Statutory Filing Timeline: At least 1 month prior to commencement of previous year

The "Commencement of Activities" Controversy in Form 10AB

A recurring flashpoint before ITAT Ahmedabad is the rejection of Form 10AB filed by provisionally registered trusts on the ground that the trust had already commenced activities before applying for provisional registration, allegedly violating the strict chronology of Section 12A(1)(ac)(iii).

ITAT Ahmedabad has repeatedly ruled against this hyper-technical interpretation:

  • Substance over Form: Where a newly formed trust had initiated charitable work to demonstrate genuineness, CIT(Exemptions) cannot deny final registration solely because activities commenced during the provisional window.

  • CBDT Circular No. 6/2023 & 7/2024: The Board progressively extended the timeline for filing Form 10A/10AB. ITAT Ahmedabad holds that where applications were filed within extended windows, CIT(Exemptions) is statutorily barred from treating them as non-est.

2. Defeating Section 115TD: The "Accreted Income" Threat

Perhaps the most dangerous weapon deployed by the Revenue against non-governmental organizations and educational societies is Chapter XII-EB (Section 115TD).

Statutory Mechanism of Section 115TD

Section 115TD imposes an exit tax at the Maximum Marginal Rate (34.944%) on the "Accreted Income" of a trust. Accreted income is defined as:

Formula: Accreted Income = Fair Market Value of Aggregate Assets - Total Liabilities

Section 115TD triggers upon:

  1. Conversion of a trust into a form not eligible for Section 12AB registration.

  2. Merger with an entity that does not hold Section 12AB registration.

  3. Dissolution of the trust where assets are not transferred to another registered charitable entity within 12 months.

  4. Failure to apply for re-registration or rejection of registration under Section 12A(1)(ac) (inserted via Finance Act 2023).

The ITAT Ahmedabad Defense against Section 115TD

When the Assessing Officer issues an order demanding 35% tax on the market value of land, hospitals, or campus infrastructure following a registration rejection:

  • Challenging the Root Order: In Sardar Patel Educational Trust and allied Gujarat rulings, ITAT Ahmedabad established that where an appeal is pending against the rejection of registration under Section 12AB, Section 115TD proceedings cannot be enforced prematurely.

  • No Conversion in Fact: Even where an administrative application was rejected on technical limitation grounds, the physical trust remains legally bound by its public trust deed under the Gujarat Public Trusts Act, 1950. The assets remain irrevocably dedicated to charity; no private enrichment or conversion has occurred.

3. Commercial Receipts & Proviso to Section 2(15): Post-AUDA Principles

Under Section 2(15), the advancement of any other object of general public utility (GPU) ceases to be charitable if it involves carrying on any activity in the nature of trade, commerce, or business, unless:

  1. Such activity is undertaken in the actual course of carrying out such advancement of GPU object; and

  2. The aggregate receipts from such commercial activities do not exceed 20% of total receipts of the trust for that previous year.

The Supreme Court's Landmark AUDA Ruling

In ACIT v. Ahmedabad Urban Development Authority (AUDA) (2022) 449 ITR 1 (SC), the Supreme Court laid down precise demarcations:

  • Statutory Authorities vs Pure Commerce: Fee-based services rendered at nominal markups or statutory cost-recovery tariffs to further public utilities do not constitute "trade, commerce, or business."

  • Cost-Plus Testing: Charging fees merely to cover operational maintenance and inflation does not taint charitable status. A profit-maximizing motive must be demonstrably established by the Revenue.

  • Year-to-Year Scrutiny: Even if receipts exceed 20% in a single financial year, the trust only loses Section 11 exemption for that specific year; its foundational Section 12AB registration cannot be cancelled.

4. Section 13(1)(c) & (d): Personal Benefit and Investment Violations

Assessing officers frequently attempt total denial of exemption under Section 13(1)(c) by alleging that trust funds were applied directly or indirectly for the benefit of "specified persons" (founders, trustees, major donors, or their relatives).

Winning Evidentiary Defense Before ITAT Ahmedabad

  1. Commercial Justification of Trustee Remuneration: Under Section 13(2)(c), remuneration paid to a trustee or relative is permissible provided it is reasonable for services actually rendered. Submissions must benchmark trustee professional qualifications against prevailing market CTCs.

  2. Fair Market Value of Property Lease: Where trusts rent premises from founders, produce an independent valuation report from a registered valuer establishing that rent paid is equal to or below prevailing circle rates.

  3. Section 13(1)(d) Specified Modes: Reconcile all investments strictly within Section 11(5) prescribed modes (public sector bonds, scheduled bank deposits, UTI units).

5. Form 10BD Statement of Donations & Anonymous Donations Defense

Under Section 115BBC, anonymous donations received by a charitable trust are taxed at a punitive flat rate of 30%.

Compliance and Audit Reconciliation Protocol

  • Form 10BD Matching: Every donation claimed as non-anonymous must correspond to a valid Donor Name, Address, and PAN/Aadhaar/Passport number filed in Form 10BD before 31 May.

  • Certificate of Donation (Form 10BE): Downloaded and issued to donors; discrepancies between Form 10BD and trust financial ledgers must be corrected via revised Form 10BD before assessment commencement.

  • Corpus Donations u/s 11(1)(d): Specific written direction letters from donors are non-negotiable. Corpus funds must be directly deposited into Section 11(5) designated bank accounts without commingling with operational receipts.

6. Appellate Strategy Matrix Before ITAT Ahmedabad Benches
