Corporate treasury maturity register and debt issue documents illustrating SEBI ISIN compliance

SEBI's 7 October 2026 circular revises the ISIN framework for privately placed debt securities with immediate effect. Its organising principle is the number of ISINs maturing in a financial year, not simply the number of issues launched during that year. Issuers should rebuild their maturity register before relying on the expanded limits.

The circular is HO/17/11/24(8)2026-DDHS-POD1/I/23125/2026. It replaces specified provisions of Chapter VIII of the 15 October 2025 NCS Master Circular; the remaining provisions of that chapter continue unchanged. This article explains that identified circular, rather than announcing a new development dated today.

The revised framework at a glance

The general framework allows seventeen ISINs maturing in a financial year, divided between a twelve-ISIN plain-vanilla bucket and a five-ISIN bucket covering structured or market-linked debt, floating-rate bonds, zero-coupon bonds and debt-capital instruments (Tier II bonds). Secured and unsecured plain-vanilla debt share the twelve-ISIN bucket.

The circular also contains an incremental plain-vanilla allowance, a separate rule for issuers issuing only the specified non-plain-vanilla instruments, legacy protection and instrument exclusions. Therefore, seventeen should not be presented as an absolute universal ceiling.

  • Classify the instrument before applying the relevant bucket.

  • Identify its financial year of maturity.

  • Check the issuer's existing instruments maturing in that year.

  • Apply the relevant special rule or exclusion only where its conditions are met.

Large plain-vanilla maturities: read the illustration

For the twelve plain-vanilla ISINs maturing in a given financial year, the circular links additional capacity to the outstanding amount. Its illustration specifies twelve ISINs for ₹1–15,000 crore, thirteen for ₹15,001–18,000 crore and fourteen for ₹18,001–21,000 crore, with one additional ISIN for every incremental ₹3,000 crore.

Use the official wording and illustration together when testing a proposed issuance. Do not treat each ₹3,000 crore of issue proceeds, regardless of maturity year or existing outstanding amount, as an automatic extra ISIN. Treasury teams should confirm the calculation and relevant outstanding population with their appointed advisers and exchange/depository counterparts.

Legacy instruments: protection has a condition

Existing floating-rate bonds, zero-coupon bonds and Tier II bond ISINs issued before the circular, outstanding and maturing in a subsequent financial year, are grandfathered to avoid an unintended breach.

However, where the number of those legacy ISINs maturing in a particular subsequent financial year already equals or exceeds five, the issuer cannot issue further new ISINs in the specified five-ISIN category for that financial year until the maturing count in that category falls below five. This restriction includes the other instruments listed in the same category; grandfathering does not create unrestricted new capacity.

Special issuer rule and excluded instruments

Where an issuer issues only structured or market-linked debt, floating-rate bonds, zero-coupon bonds or Tier II debt-capital instruments, paragraph 1.3 of the substituted text sets a twelve-ISIN maturity-year limit. This must be assessed separately from the mixed-instrument framework.

The circular excludes Government of India-serviced/Extra Budgetary Resources bonds and ESG debt securities issued under the SEBI NCS Regulations, 2021 when calculating the applicable limits. An ESG marketing label alone should not be used as proof of the regulatory exclusion.

It also preserves six additional ISINs for authorised issuers' privately placed capital-gains-tax debt securities under the section 54EC reference used in the circular. This is a restricted issuer/instrument provision, not a general allowance for every corporate borrower.

Practical maturity-register checklist

  • Maintain issuer-level ISIN, issue date, instrument category, maturity date and outstanding amount fields.

  • Separate legacy instruments and record the evidence supporting their treatment.

  • Document the regulatory basis for any excluded instrument.

  • Model each financial year independently before adding a proposed tranche.

  • Reconcile treasury records with the relevant depository and exchange records.

  • Retain the approval, classification and calculation trail with the issue documentation.

The ISIN change does not dispense with other applicable listing, disclosure, company-law or issue requirements. The circular expressly leaves the rest of Chapter VIII unchanged.

Frequently asked questions

Does the limit count the number of issues made this financial year?

The circular's relevant count concerns ISINs maturing in a financial year. Do not substitute an issue-year count.

Can every issuer use seventeen plain-vanilla ISINs?

No. The general allocation contains twelve plain-vanilla ISINs, with the specified incremental allowance subject to its conditions.

Are all zero-coupon bond ISINs excluded?

No. Zero-coupon bonds are expressly included in the specified instrument bucket. The exclusions identify different regulatory categories and must be established on their own terms.
