SEBI Credit Risk-o-Meter 2026: Debt Issuer Compliance Checklist

Corporate disclosure workpapers and an abstract coloured glass arc in a boardroom; editorial illustration, not the prescribed regulatory meter

Editorial illustration. Use SEBI’s official Annexure A for the prescribed Credit Risk-o-Meter artwork.

SEBI has introduced a Credit Risk-o-Meter disclosure framework for debt securities. For a corporate issuer preparing a listed debt transaction, the practical job is to make the rating disclosure consistent across the offer paperwork, advertisements and distribution platforms. A favourable-looking graphic is not a substitute for checking the security's actual rating and terms.

What the circular changes

SEBI's 7 October 2026 circular, HO/17/11/22(1)2026-DDHS-POD1/I/23092/2026, introduces a prescribed visual disclosure of credit risk. Annexure A covers listed and proposed-to-be-listed NCS, commercial paper, securitised debt instruments, security receipts and structured debt/market-linked debentures, whether publicly issued or privately placed. Do not assume every unlisted corporate borrowing falls within that description.

The prescribed disclosure belongs in offer documents, abridged prospectuses and private placement memoranda, as well as the issuer/OBPP advertising and OBPP platform surfaces identified in the circular. The circular takes effect after 45 days from issuance. At this article's 16 October review date, that implementation period has not expired. This is a final circular with deferred operation, not a consultation draft or a rule that was already effective on 7 October.

A practical issuer preparation checklist

The following are suggested internal controls, not additional filing obligations created by this article.

  1. Make an instrument-by-instrument scope sheet. Identify the issuing entity, ISIN, listing status, security terms, document versions and distribution channels. Keep debt and equity workstreams separate.

  2. Build a rating evidence file. Collect the rating letters, agency details and communications used to prepare each display. Have a named reviewer reconcile the actual rating with the visual output.

  3. Use the prescribed artwork and mapping. Annexure A contains six credit-risk bands, exact colour specifications and additional treatment for an issuer-not-cooperating status. Use the official annexure rather than inventing a simplified green-to-red badge.

  4. Reconcile the text below the graphic. The circular requires the CRA name and actual rating. It separately requires the word unsecured in bold red text for unsecured instruments. Where there are multiple CRA ratings, the meter reflects the lowest rating; the circular permits all ratings to be disclosed alongside it.

  5. Create a controlled publication pack. Give legal, finance, communications and platform teams one approved set of artwork, rating evidence and applicable disclaimer text. Check the PDF, web page and mobile screen separately before release.

Platform duties are not the same as issuer duties

For OBPPs, Annexure A adds specific operational requirements. The meter must appear on bond listing and details pages before investment-action buttons. Rating information must come from SEBI-registered CRAs; changes follow the NSDL/CDSL intimation process, with the specified 24-hour update requirement. Manual classification overrides are prohibited and update audit trails are required. Issuers should coordinate the hand-off, but should not describe every OBPP system obligation as an issuer filing requirement.

What a corporate treasury team should avoid

A low credit-risk band does not mean assured repayment, a liquid exit or protection against market-price movements. Annexure A requires disclaimers distinguishing credit risk from investment advice and recognising market and liquidity risks. Unsecured perpetual instruments such as AT1 bonds require a separate structural-risk disclaimer. Use the exact applicable wording from the annexure in transaction materials; this summary does not replace it.

Frequently asked questions

Does private placement avoid the new display?

No. Annexure A expressly includes private placements within its stated instrument and listing scope. Start with scope, not the offer route alone.

Can a company choose a more favourable rating for the graphic?

Where several CRAs rate a security, Annexure A directs the meter to reflect the lowest rating. Keep the supporting rating record with the approved display.

Is this a replacement for the existing merchant-banker analysis?

No. It is a separate disclosure exercise. A team using the firm's existing private-placement merchant-banker checklist should add a separate owner for the risk-display workstream, rather than treating one circular as satisfying the other.
