SME IPO proposed changes: SEBI October 2026 consultation; editorial illustration marked proposals, not final rules

SEBI's 14 October 2026 consultation proposes substantial changes to India's SME IPO framework. These are proposals for public comment, not a notification bringing new requirements into force. Companies should use them for scenario planning and continue to apply the operative ICDR Regulations and exchange requirements to actual filings.

This note covers selected issuer-facing proposals, rather than every recommendation in the paper. Public comments are invited by 4 November 2026. Source: SEBI consultation, sections 5 and 7: https://www.sebi.gov.in/sebi_data/attachdocs/oct-2026/1791972839578.pdf

Market capitalisation could replace the paid-up capital test

Section 5.1.1 proposes eligibility based on post-issue market capitalisation calculated at the offer price. An issuer up to ₹1,000 crore would use the SME platform; above ₹1,000 crore and up to ₹4,000 crore, the proposal permits an SME-platform option. These thresholds should not be confused with issue size or pre-issue valuation.

For the optional ₹1,000–4,000 crore band, the paper proposes restated consolidated financial statements prepared under Ind AS for the preceding three financial years and any applicable stub period. The consultation also considers platform consequences when valuation changes between initial filing and the red herring prospectus or prospectus stage. CFOs should model those scenarios with their merchant banker before choosing a filing route.

Profitability: a proposed three-year average

Section 5.1.3 proposes average operating profit of at least ₹3 crore per year over the preceding three financial years, based on restated consolidated financial statements. This is a proposed average test, not a requirement to earn ₹3 crore in every individual year.

Do not substitute net profit, cash flow or a management presentation measure without reconciling the regulatory calculation. Maintain a working paper linking the proposed test to the restated accounts and discuss its interpretation with the appointed professionals.

Conversion and reorganisation: build the evidence trail

Section 5.1.2 proposes four consecutive completed financial quarters after conversion or a qualifying reorganisation, replacing the full-financial-year seasoning approach discussed in the paper. It also contemplates filing at least one annual audited financial statement, or part thereof, after that event with the Registrar of Companies before the draft offer document.

The proposed treatment extends to specified reorganisations involving a business formerly run as a proprietorship, partnership or LLP. Historical operating track record may be recognised subject to conditions. This is not an unconditional right to count any predecessor business.

General corporate purposes: proposed removal of the rupee cap

Section 5.2 proposes removing the ₹10 crore absolute ceiling for general corporate purposes while retaining the 15% ceiling on the amount raised by the issuer. Until an operative amendment changes the applicable rules, a company should not budget IPO proceeds as though this additional flexibility is already available.

Practical readiness checklist for founders and finance teams

  • Prepare post-issue valuation scenarios and identify the proposed platform implications.

  • Reconcile three years of restated consolidated financial information and assess Ind AS readiness where relevant.

  • Preserve incorporation, conversion and business-transfer records, audited accounts and ROC filing acknowledgements.

  • Review the objects of the issue and document specific expenditure rather than treating general corporate purposes as an unrestricted pool.

  • Reconcile creditor balances and MSME disclosures before offer-document diligence.

  • Track final amendments, commencement provisions and exchange implementation requirements before changing a live IPO timetable.

Frequently asked questions

Have SEBI's SME IPO rules already changed through this consultation?

The consultation paper itself does not amend the regulations. Its suggested drafting and recommendations must be distinguished from notified requirements. Check the current legal position again when taking a filing decision.

Is ₹1,000 crore the proposed amount a company can raise?

No. The selected proposal uses post-issue market capitalisation at the offer price, not the fundraising amount.

When can stakeholders submit comments?

The consultation states 4 November 2026 as the last date. Use the official SEBI public-comments process linked from the consultation page; check for any subsequent extension before submitting.
