Form 3CD Clause 40 for AY 2026-27: Turnover, GP/NP Ratios & Reconciliation

Updated: Sep 28

Direct answer: For FY 2025-26 / AY 2026-27, Clause 40 of Form 3CD requires comparative operating information for the current and preceding previous year—total turnover, gross-profit/turnover, net-profit/turnover, stock-in-trade/turnover, and material consumed/finished goods produced, with details for principal goods or services. The practical audit risk is not the arithmetic alone: the ratios should be built on a consistent turnover base and reconciled to the audited financial statements, GST/turnover records and the rest of Form 3CD.

Update — 28 September 2026: CBDT changed the specified AY 2026–27 tax-audit report deadline from 30 September to 21 October 2026, and the related audited return deadline from 31 October to 21 November 2026. The separate Form 3CEB timeline is unchanged. Official Income Tax Department announcement.

What does Clause 40 of Form 3CD require?

The prescribed Form 3CD asks for current-year and preceding-year figures for five operating measures. The comparison is intended to make material shifts visible and should therefore be prepared on a basis that is consistent across both years.

  • Total turnover of the assessee.

  • Gross profit divided by turnover.

  • Net profit divided by turnover.

  • Stock-in-trade divided by turnover.

  • Material consumed divided by finished goods produced.

The form also states that the details are to be furnished for principal items of goods traded or manufactured or services rendered. See the official Form 3CD for the prescribed wording.

Why Clause 40 matters more in AY 2026-27

Tax audit for FY 2025-26 / AY 2026-27 continues under the Income-tax Act, 1961 using Form 3CA or Form 3CB with Form 3CD. The Income Tax Department states that the ordinary tax-audit report deadline for AY 2026-27 is 21 October 2026. See the Department’s current income-tax forms guidance.

That makes Clause 40 a useful final-stage consistency check: if turnover used here differs from the turnover reported elsewhere in the tax-audit file, GST returns, financial statements or income-tax return, the difference should be understood before filing—not after a notice.

How should turnover be reconciled for Clause 40?

Start with the turnover figure used for Section 44AB and reconcile it to the audited revenue ledger. Then identify items that can create differences between accounting revenue and the tax-audit turnover base, such as GST presentation, trade discounts, scrap or incidental receipts, reimbursements and specialised turnover computations.

For the broader turnover framework, see PGT & Associates’ Tax Audit Turnover Calculation AY 2026-27 guide.

A practical reconciliation sequence

  • Tie audited revenue to the trial balance and financial statements.

  • Reconcile outward supplies with GSTR-1 and GSTR-3B where applicable.

  • Document whether GST is included or excluded from the turnover base and apply the same policy consistently.

  • Identify non-operating receipts, reimbursements, scrap sales and other items that may need separate treatment.

  • Recompute gross profit and net profit using the same turnover denominator used in Clause 40.

  • Compare current-year ratios with the preceding year and document material movements.

Worked example: why the ratio can move even when profit increases

Assume turnover increases from ₹8 crore to ₹10 crore. Gross profit increases from ₹2 crore to ₹2.2 crore. Gross profit has increased in absolute terms, but the GP ratio falls from 25% to 22%. Clause 40 therefore highlights a margin deterioration that would not be obvious from the rupee profit alone.

The audit file should then explain the commercial driver—for example, raw-material inflation, product mix, pricing pressure, one-off discounts or a shift toward lower-margin contracts—using evidence rather than a generic explanation.

Stock-in-trade and material-consumption ratios

Stock-in-trade/turnover and material consumed/finished goods produced are especially useful for trading and manufacturing businesses because unusual movements can point to cut-off errors, stock valuation issues, production losses or classification problems.

For service businesses, the reporting should reflect the nature of the business and available records. Do not force a manufacturing-style ratio where it has no meaningful basis; instead, keep the working paper clear about why a field is not applicable or how the closest relevant measure was derived.

Common Clause 40 mistakes

  • Using a different turnover base in Clause 40 from the figure used elsewhere in Form 3CD.

  • Comparing a GST-inclusive current-year number with a GST-exclusive prior-year number.

  • Using EBITDA or another management metric in place of the net-profit figure without reconciling it to the accounts.

  • Failing to recast the preceding-year comparator after a material accounting reclassification.

  • Ignoring large ratio movements because the absolute profit figure increased.

  • Reporting group-level or division-level numbers where the clause requires assessee-level information unless properly reconciled.

Clause 40 pre-filing checklist

  • Confirm the turnover figure agrees with the tax-audit turnover working.

  • Tie GP and NP numerators to the audited accounts and retain the bridge for tax-only adjustments.

  • Apply one consistent turnover denominator across the ratios.

  • Reconcile stock figures with inventory records and the financial statements.

  • For manufacturers, reconcile material consumption with production and finished-goods records.

  • Compare both years on a like-for-like accounting basis.

  • Write a short explanation for every material ratio movement.

  • Cross-check the final numbers against the ITR and the rest of Form 3CD before upload.

How Clause 40 fits into the wider tax-audit file

Clause 40 should not be prepared in isolation. It works best as part of a final Form 3CD consistency review. PGT & Associates has separate guides on Tax Audit for AY 2026-27 and common Form 3CD reconciliation mistakes that can be used alongside this checklist.

FAQs

Is Clause 40 only for manufacturing businesses?

No. Clause 40 applies as part of Form 3CD for assessees subject to tax audit. Some individual ratios are naturally more relevant to trading or manufacturing businesses, so applicability and the underlying working should reflect the assessee’s actual business model.

Should the current year and preceding year use the same calculation basis?

Yes, as far as practicable. A comparative clause is meaningful only when both periods are prepared consistently. If a basis has changed because of a genuine accounting or classification change, retain a reconciliation and explanation.

Does Clause 40 itself create a tax disallowance?

No. Clause 40 is a reporting and analytical disclosure. However, unexplained inconsistencies can point to underlying tax, accounting, inventory or turnover issues that may require separate treatment elsewhere.

Professional takeaway

Clause 40 is a compact diagnostic schedule. Prepared properly, it gives the auditor and management a quick view of whether revenue, margins, inventory and production metrics tell a coherent story across two years. The highest-value step is to investigate material movements before filing, not merely populate the ratios.
