Companies Act Litigation: ROC Penalties, NCLT Petitions and Restoration Remedies
Updated: 4 days ago
A company-law dispute may start with an ROC notice, adjudication proceeding, strike-off notice, shareholder complaint, director issue, filing defect or board and ownership dispute. The immediate task is to identify the statutory route, preserve the corporate record and choose the correct forum.
Corporate litigation is often won or lost on the quality of the record. A clear chronology, properly authenticated filings and consistent resolutions can be more valuable than a long narrative that is not supported by documents.
Corporate disputes begin with the record
ROC adjudication and penalty matters are not the same as NCLT petitions for oppression and mismanagement, restoration of a struck-off company, reduction of capital, merger or other company-law relief. Different remedies have different statutory conditions, parties, documents, service requirements and limitation questions.
Build a corporate litigation file
Collect the certificate of incorporation, memorandum and articles, master data, annual filings, financial statements, registers, board and shareholder resolutions, notices, minutes, statutory auditor communications, charge documents, share-transfer records, bank statements and relevant correspondence.
Create a date chart with the notice date, service date, response deadline, meeting date, filing date, order date and limitation or appeal date. Preserve original portal downloads and email headers. Do not alter minutes or backdate resolutions after a dispute has begun.
The core corporate file should contain:
• Constitutional documents and current master data.
• Statutory filings, registers and financial statements.
• Notices, minutes, resolutions and proof of service.
• Shareholding, transfer, charge and director records.
• Board authorisations, affidavits and correspondence.
ROC adjudication and penalty proceedings
Where an adjudication notice is issued, identify the company, officer in default, provision alleged to have been breached, period, continuing-default position, proposed penalty and hearing process. Check whether the allegation is capable of being cured, whether the filing record is complete and whether the factual basis is correct.
The response should address each alleged default separately. Explain the corporate action, attach the relevant records, identify any filing or rectification already completed and state the relief sought. If a personal penalty is proposed against an officer, analyse the role, period of office, responsibility and statutory basis rather than treating the company and every officer as interchangeable.
Before replying to an ROC notice, check:
• Exact provision and period of default.
• Company and officer-specific allegations.
• Whether a filing, correction or compounding route is available.
• Hearing date, response deadline and proof of service.

When the NCLT is the correct forum
The NCLT handles several important company-law remedies. For oppression and mismanagement matters under sections 241 and 242, the current NCLT filing framework identifies the Company Petition (Companies Act) category and refers to Form NCLT-1. It also identifies threshold and waiver issues under section 244, service requirements and supporting corporate documents.
Eligibility should be checked before drafting the petition because a petition can fail at the threshold if the statutory requirement is not met or the waiver case is not properly presented. The petition should explain the conduct complained of, the rights affected, the evidence and the interim or final relief sought.
For restoration of a company’s name, the NCLT framework identifies section 252 proceedings and a Company Appeal (Companies Act) category. The evidence should address the strike-off, genuine business or operational position, statutory filings, assets, liabilities, tax and banking records, and why restoration is just or necessary on the facts.
NCLT e-filing: prepare the filing package before starting
The official NCLT e-filing manual states that a petitioner can file a petition or appeal under the Companies Act or IBC, file applications in ongoing cases, upload additional documents and refile where defects are raised. For a Companies Act petition or appeal, the manual describes entry of the NCLT location, jurisdiction, case type and section, followed by petitioner, respondent and representative details.
It also identifies PDF uploads for documents such as the appeal, affidavit, annexures and proof of service. The workflow includes checklist review, final preview, payment and receipt generation. Prepare the complete PDF set before opening the filing session and use a consistent index, bookmarks, page numbering and file naming.
Filing-package checks include:
• Correct NCLT bench, jurisdiction, section and case category.
• Consistent cause title, parties and registered-office details.
• Signed petition, affidavit, authorisation and annexures.
• Proof of service and readable, bookmarked PDF documents.
• Payment receipt, e-filing reference and defect-tracking plan.
Strategy for directors, shareholders and companies
A company-law dispute is often both procedural and commercial. The legal filing should identify the immediate relief, the evidence supporting urgency and the consequences of delay. If board control, company records, bank operations, shareholding or statutory filings are disputed, specify the interim protection required rather than asking for broad relief without an evidentiary foundation.
For shareholder disputes, verify the register of members, issued and paid-up capital, voting rights, transfer history and articles of association. For director disputes, verify appointment, resignation, disqualification, authority and relevant filings. For restoration matters, align the NCLT record with ROC and tax records so that the company’s request is supported by a coherent compliance history.
Corporate litigation checklist
• Identify the notice, order, forum, statutory section and remedy.
• Preserve MCA master data, filings, resolutions, minutes and proof of service.
• Confirm statutory eligibility, limitation and appeal or petition category.
• Separate company liability from officer-specific responsibility.
• Track e-filing references, defects, refiling deadlines, listing dates and orders.
